Welcome to TextnRide Inc (the “Company,” “we,” “us,” or “our”). This User Agreement (“Agreement”) governs your access to and use of our website, mobile applications, SMS/text messaging services, and any related services (collectively, the “Platform”). Our Platform facilitates matching between independent drivers and clients for transportation services. By accessing or using our Platform, including requesting matches via text message, you agree to be bound by this Agreement. If you do not agree, please do not use our Platform.

1. Description of Platform

We operate a matching platform that connects clients with independent drivers for rides. Clients can request a match by texting our AI system, specifying details such as pickup location, destination, time, and preferred drivers. The AI will process the request and facilitate a match based on the client’s specified drivers and their availability. We are not a transportation provider; we only match clients with independent drivers who operate their own vehicles.

We may send notifications via text message or email regarding the status of your match, including confirmations, driver arrivals, updates, and completions. These notifications are part of our Platform to ensure a seamless experience.

Message frequency may vary based on your interactions, but typically includes 1-5 messages per match request. Message and data rates may apply. You can opt out at any time by replying “STOP” to any message from us. For help, reply “HELP” or contact us at contact@textnride.net / 9089102642.

2. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to use our Platform. By using our Platform, you represent that you meet this requirement and have the legal capacity to enter into this Agreement.

3. User Accounts and Matching Requests

  • Matching Requests: To request a match, text your details to our AI system at +1 (908) 910-2642. Include pickup location, destination, time, and any specific driver preferences. The AI will attempt to match you with your requested drivers based on availability.
  • Accounts: You may need to create an account or provide contact information for repeat use. You are responsible for maintaining the confidentiality of any account credentials and for all activities under your account.
  • Accuracy: You agree to provide accurate, current, and complete information for matching requests. We are not responsible for delays or issues arising from inaccurate information.
  • Independent Drivers: All drivers are independent contractors. We do not employ, control, or guarantee the performance of drivers. Any agreement for transportation is directly between you and the driver.

4. SMS and Communication Consent

By texting us to request a match or otherwise engaging with our Platform, you expressly consent to receive text messages and emails from us, including automated messages from our AI system, for transactional purposes such as match confirmations, status updates, and notifications. This includes messages sent via Twilio or similar platforms.

  • Opt-In: Your initiation of a text conversation constitutes opt-in to our messaging program.
  • Opt-Out: You can opt out at any time by replying “STOP,” “END,” “QUIT,” “UNSUBSCRIBE,” or “CANCEL” to any message. After opting out, you may receive one final message confirming your opt-out.
  • Message Frequency: Messages are sent as needed for your match (e.g., confirmation, driver ETA, completion). No marketing messages will be sent without separate consent.
  • Costs: Standard message and data rates may apply from your carrier. Check with your mobile provider for details.
  • Supported Carriers: Our SMS service works with major U.S. carriers, but we are not liable for delayed or undelivered messages.
  • Changes: We may change our SMS short code or phone number; we will notify you if this affects your service.

This consent is not a condition of using our Platform, but opting out may limit your ability to receive real-time updates.

5. Payments and Fees

  • Matches may involve fees charged by drivers based on distance, time, and any applicable surcharges (e.g., tolls, waiting time). We may facilitate payments through our Platform, but all transactions are between you and the driver.
  • If we process payments, you authorize us to charge your provided payment method for any applicable platform fees. All payments are non-refundable except as outlined in our cancellation policy.
  • We may use third-party payment processors; their terms apply in addition to ours.

6. Cancellations and Refunds

  • You may cancel a match request via text or our app before a driver accepts without charge. After acceptance, cancellation fees may apply as determined by the driver or our policy (e.g., up to 50% of the initial cost of the ride).
  • No-shows may incur charges from the driver.
  • Refunds, if applicable, will be processed within 5 to 7 business days to your original payment method.

7. User Conduct and Responsibilities

  • Comply with all applicable laws and regulations.
  • Treat drivers and vehicles with respect; no damage, illegal activities, or harassment.
  • You are responsible for your safety; verify driver details, use seatbelts, and follow any instructions.
  • Prohibited: Smoking, excessive luggage, or items that could damage the vehicle.
  • As a client or driver, you agree not to use the Platform for any unlawful purpose or to solicit services outside of the Platform.

8. Liability and Indemnification

To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to personal injury, property damage, or lost profits. Our total liability shall not exceed the amount of any platform fees paid for the specific match in question. We do not guarantee driver availability, match times, or uninterrupted Platform access. The Platform is provided “as is” without warranties of any kind.

You agree to indemnify and hold us harmless from any claims, losses, or damages arising from your use of the Platform, interactions with drivers or clients, or violation of this Agreement.

9. Privacy

Your use of our Platform is subject to our Privacy Policy https://textnride.net/policy, which explains how we collect, use, and share your information, including for SMS communications and matching purposes.

10. Governing Law

This Agreement is governed by the laws of the State of New York. Any disputes shall be resolved in the courts of Suffolk County, New York.
